PAY TO CARD PRODUCT TERMS

These Pay to Card Product Terms (“P2C Specific Terms”) specifically apply to the extent that your Commercial Form reflects that you are receiving the Runa Pay to Card Product or you otherwise use the Pay to Card Product. Any undefined terms shall have the meaning ascribed to them in the general Terms of Use. These P2C Specific Terms are intended to be additional to the general Terms of Use agreed by the Parties.
- Introduction: Buyer wishes to elect to utilize Spend through the Company Technology to fund a Recipient’s active debit card or other instrument.
- Issuer: The term “Issuer” means the regulated Payment Services Provider.
- Issuer and You: The Company has entered a strategic relationship with the Issuer to enable Buyers to use the Pay to Card Product through Company Technology. Accordingly, you hereby acknowledge that you must comply with the Issuer’s terms and conditions to utilize the Pay to Card Product.
- Terms of Use: Buyer agrees that as it relates to the Pay to Card Product:
- Buyer will not use the Pay to Card Product for any End User who is or may be below the older of the following: (i) age of 18, or (ii) the age of majority in your respective jurisdiction;
- Buyer shall provide correct and accurate details regarding its use of the Pay to Card Product;
- Company does not offer any financial (including tax) or legal advice related to the use of the Pay to Card Product and use of it is solely at Buyer’s discretion;
- Buyer agrees to comply with Issuer’s terms and conditions (“Issuer Terms”) and understands that any End User will also be presented with (and required to accept) these same Issuer Terms to receive funds through the Pay to Card Product;
- Buyer agrees to comply with Issuer’s privacy policy (“Issuer Privacy Policy”) and understands that any End User will also be presented with (and required to accept) this same Issuer Privacy Policy to receive funds through the Pay to Card Product; and
- Company retains sole discretion to grant, suspend, or terminate your access to our Website, Services, and Products. This decision may be based on concerns regarding your compliance with these P2C Specific Terms, an inability to authenticate your identity, or suspicions of fraudulent and/or criminal behavior.
- Commercials:
- Generally: Fees and payment terms for use of the Pay to Card Product are set forth in either the Commercial Form or an attached Schedule.
- Payment Options: Company may permit Buyer to elect its preferred payment terms. Buyer’s election shall be identified on the Commercial Form.
- Monthly Invoice: Company to send monthly invoice, Buyer to pay within 30 days.
- End User Payout: Any applicable transaction fees shall be assessed against (and reduce the amount of) an End User’s final payout.

- Domestic transaction: As specified in the Commercial Form. The currency of the transaction fee shall be the same currency of the Pay to Card payout).
- International: The rate specified in the Commercial Form.
- Domestic versus CrossBorder: A transaction will be deemed to be domestic if the transaction is funded in USD, GBP, EUR and the recipient’s card is to receive the same currency as sent by the customer. A transaction will be deemed to be international if it is funded in one currency but the recipient’s card requires the funds to be converted to a different currency.

- Prohibited Use Cases and Applicable Law:
- Buyer will not use the Company Technology or Issuer’s technology for any illegal activities, which includes (but is not limited to) those activities listed here.
- Buyer (i) shall comply with all applicable local, national, and international laws and regulations, including but not limited to export control laws and economic sanctions programs; ensure that its use of the Pay to Card Product and any related services does not violate any laws or regulations; and (iii) shall not engage in any activity that would cause the Company or Issuer to be in violation of any applicable laws or sanctions.
